Templace Terms of Service

1. Acceptance of Terms

By accessing or using the Templace website ("Site") and services ("Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or Services.

2. Description of Services

Templace provides a marketplace for designers, developers, and creators to buy and sell Webflow and Framer templates, components, and other digital assets. Users can browse, purchase, and upload digital assets, as well as interact with other users.

3. Eligibility

You must be at least 18 years old to use our Services. By using Templace, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions herein.

4. Account Registration

To access certain features of the Site and Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and agree not to disclose your password to any third party.

5. User Content

By submitting any content (including but not limited to templates, components, and other digital assets) to Templace, you grant us a non-exclusive, worldwide, royalty-free, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Site and Services.

6. User Conduct

You agree not to use the Site or Services to:

• Violate any local, state, national, or international law.
• Infringe the rights of any third party, including without limitation, intellectual property, privacy, and publicity rights.
• Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.

7. Fees and Payments

Templace charges a commission fee on sales made through the marketplace. The current commission rate is 15% of the sale price. Payments are processed through Stripe, and users must comply with Stripe’s terms and conditions.

8. Refund Policy

All sales are final and non-refundable. If you encounter any issues with a purchased item, please contact the seller directly.

9. Termination

Templace reserves the right to suspend or terminate your account and access to the Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Site, us, or third parties, or for any other reason.

10. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

In no event shall Templace, its affiliates, or their respective officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Site or Services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Site. You are advised to review these Terms periodically for any changes. Your continued use of the Site and Services following the posting of changes constitutes your acceptance of those changes.
